Vendor Terms & Payment Policy

Effective Jan 1, 2026, all alcohol invoice payments from Flask will be by EFT. Our standard EFT processor is Fintech.

Policy

  • EFT Processor: Flask's EFT processor is Fintech. If Flask and your company do not agree on an EFT processor, AB 2991 requires use of the processor the retailer used as of July 1, 2025. For Flask, that is Fintech.
  • At Delivery: The driver must present documentation with pricing (invoice, bill of lading, or packing slip) for signature confirming receipt. The corresponding invoice will then be processed through Fintech for EFT payment. Terms to remain net-30; we will not accept COD.
  • Credit Card Option: If you accept credit card with no surcharge, we may pay by card. For card payments, please send payment links to billing@flaskfinewines.com and cc info@flaskfinewines.com.

What You Must Do

  • In Fintech, send a connection invite to info@flaskfinewines.com.
  • Map our locations as listed below and include the Location ID on every invoice.
  • Submit all invoices in Fintech. Only invoices in Fintech will be paid on or after Jan 1, 2026, unless paid by surcharge-free credit card per the exception above.

Important Notes

  • Any open balance as of Jan 1, 2026 must be submitted in Fintech for payment, unless processed by surcharge-free credit card per the exception above.
  • Remittance and invoice communication will occur in Fintech only.
  • Important: Please do not contact Flask regarding your company's Fintech setup. All onboarding and technical questions must be directed to Fintech support or your AR department.
  • This policy applies to all wine suppliers, including brokers and direct wineries.

Vendor Indemnification & Product Warranties

By supplying products to Flask, each vendor represents and warrants that:

  • Intellectual Property Rights: All products, including artwork, labels, bottle design, packaging, trade dress, and branding, do not infringe upon or violate any copyright, trademark, patent, trade dress, or intellectual property rights of any third party. Vendor assumes full liability for any third-party claims alleging IP infringement.
  • Product Legality & Safety: All products comply with applicable federal, state, and local laws. Vendor warrants that products contain no undisclosed, prohibited, or illegal substances, and that full disclosure of all ingredients, additives, and manufacturing processes has been provided to Flask.
  • Indemnification: Vendor agrees to indemnify, defend, and hold harmless The Bottlist Inc., its owners, officers, employees, agents, parent companies, subsidiaries, affiliated entities, and related business ventures from and against all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) any alleged infringement of intellectual property, copyright, trademark, or trade dress rights; (b) any undisclosed illegal substances, prohibited materials, or non-compliance with product regulations; (c) product defects, contamination, or failure to meet industry standards; or (d) any breach of the representations and warranties contained herein.
  • Notice & Cooperation: Vendor must promptly notify Flask in writing of any third-party claims or inquiries relating to product IP, safety, or legality. Vendor agrees to cooperate fully in Flask's defense against any such claims and to assume all costs associated with defending against claims arising from vendor's breach of these warranties.

Intellectual Property & Compliance

Use of Flask Brand & Intellectual Property: You acknowledge that Flask Fine Wine's brand, trademarks, logos, images, content, and other intellectual property are solely owned by The Bottlist Inc. The marks "Flask" and the Flask logo are USPTO-registered trademarks of The Bottlist Inc. Flask's product photography and related visual content are protected by copyright and registered with the U.S. Copyright Office. You receive no license, right, or permission to use, reproduce, distribute, sublicense, or otherwise exploit any Flask intellectual property in any form without a prior written authorization agreement signed by an authorized officer or signatory of The Bottlist Inc.

Sales Tax & Tax Compliance: Each vendor is solely responsible for complying with all applicable sales tax, use tax, excise tax, and other tax obligations related to your products and business operations.

Data Security & Breach Notification: Vendor must maintain reasonable data security measures to protect all confidential information Flask provides, including but not limited to employee data, purchase history, pricing, volume data, and business strategies. Employee data is treated as sensitive personal information and must be protected in accordance with applicable data privacy laws, including but not limited to the California Consumer Privacy Act (CCPA). Vendor must limit access to employee data to personnel with a legitimate business need. Vendor must notify Flask in writing within 24 hours of learning of any unauthorized access, data breach, or cyberattack affecting any Flask information. Vendor is liable for damages arising from breach of these data security obligations, including regulatory fines and penalties resulting from unauthorized disclosure or misuse of employee data.

Entire Agreement & Modifications

Entire Agreement: These Vendor Terms, together with any Purchase Order and this page at flaskfinewines.com/pages/vendor-terms, constitute the entire agreement between you and The Bottlist Inc. regarding vendor relationships and supply.

No Oral Modification or Waiver: No modification, amendment, waiver, or exception to any provision of these terms shall be valid or binding unless made in a writing signed by an authorized officer or signatory of The Bottlist Inc. No email, text message, verbal statement, or conduct by any Flask employee constitutes an amendment, waiver, or modification of these terms. Any purported modification made by anyone other than an authorized signatory is void and unenforceable.
